Change of Ownership for a Pharmacy

We will prepare and negotiate the legal contracts to sell your business, prepare the transfer of the lease or the sale of the freehold. However, there is one more issue that needs to be addressed and we can assist you with this. With a pharmacy there is has a contract with the NHS to provide pharmacy services and this must be transferred to the new owners.

If the NHS contract is in a company name then makes matters simpler in that the Company will retain the ownership of the NHS contract but the owners of the company will be the buyers. There are some possible restrictions on this, that could occur but we will help you with this. This is called a share sale / purchase.

If however the NHS contract is in the name of the individual selling then the buyer will have to apply to the NHS to transfer the Pharmacy Contract to the new owner and this could be another individual or a company the buyer has created.

To perfect the transfer of the NHS contract certain forms will need to be completed and submitted to the Primary Care Support England (PCSE). The current owner (the Seller) will also need to sign the forms and the fee for the submission is paid by the buyer. This is referred to as the change of ownership.

The Change of ownership can take 3-4 months to be approved and once approved the buyer and seller will be notified. Once approved there is a 30 day period for any objection to be made. After this period the Buyer is to submit a “Notice of Commencement” letter to the NHS setting a date which is again another 30 day period confirming the day of completion and new ownership being in place. Once a completion date for the business and NHS contract is agreed the GPhC also needs to be notified about any change of Superintendent Pharmacist.

If your pharmacy is subject to a lease then any buyer may require the lease to be extended or renewed in order to have security of the property and if a lending is involved in the purchase a lender may require a long lease. Please do call us to discuss this.
